JOB PURPOSE

To oversee overall Legal and Compliance Risks Management within the Company's business and support functions unit.

To leverage experiences within Legal Team and drive own expertise as a key member of a management team by developing new businesses for finance, corporate and commercial contract units of the Company.

To maintain approved list Lawyers/Law and Legal Firm for outsource advising among others, litigation cases, with an advice of the Management Team being a primary contact within the Company.

To liaise with the Executive Management Team Members of the Company, including Shareholders, Supervisory Board Members, Revision and Audit Committees as well as HR Committee in view of legal risk management. Company.

CORE RESPONSIBILITIES

To advise internal clients on the legal rights and obligations with the up to date on new business laws and regulations focusing on doing business.

To provide legal advice on corporate and commercial laws, inward investment under foreign business act, being internal client’s representative in attending shareholders’ meetings of public companies to ensure the meeting proceeds according to the law, etc.,

To supervise, advise and direct a team of lawyers regarding legal strategies and solutions to solve internal clients’ legal issues;

To draft, review, revise and vet and represent as well internal clients in negotiation on legal issues;

To advise and represent natural and juristic legibility of the Company in legal matters of the Company in civil, economic, arbitration criminal, administrative and civil court proceedings.

To have the sustainable skills of effective representation with the purpose of protection interests of Company in front of contractors, State, Regulatory, and Supervisory Authorities as well as in Economic, Arbitration, Administrative, Criminal and Civil Courts;

To support and back up for the Senior Lawyers in Kashkadarya and Sirdarya Regions and/or other lawyers/associate, as a case from time to time.

To participate in preparation of alterations in the Company founding/constitutive documents and their registration in the appropriate public agencies performing state registration and to meet statutory requirements.

Key Interactions

Internal: Commercial, Finance, Accounting and HR Units/Departments.
External: Governmental (including NGOs), Regulatory, Enforcement Ministries/Committees/Agencies/Bodies and different layers (primary, appeal (re-appeal), cassation and supervisory instances) of Courts

Experience

• 5-7 years in the position of Legal and Compliance Head/ Management Roles

• Skills / Knowledge / Competencies

• Stable skills of legal analytical work;
• Analytical skills;
• Oral and written communication.
• The ability to work independently, regardless of the set tasks and their complexity;

  Education

  University Degree/High Education in Law (LLB LLM)

  Certification / Software

  Certificate of In-house lawyer of Licensed Advocate

  Advanced user of legal systems Norma, Pravo, Lex.uz, modern computer technologies.
