Senior Legal Advisor (Banking&Finance) – FINTECH
Our client, an international fintech company, is looking for Senior Legal Advisor (Banking&Finance) to be based in Kyiv, Ukraine.
Key functions:
- advising on investments (foreign jurisdictions, primarily English law), finance structuring and tax planning,
- legal support of debt and equity investment in fintech businesses acting for both investors and many household names in fintech and digital banking,
- legal support of various investment projects
- participation in refinancing projects, financing of property acquisition and securing new committed credit arrangements; counterparties will include banks, corporates, technology companies, sponsors and institutional lenders.
- legal support for investment activities, M&A, reorganization, due diligence,
- research and advise on various legal matters, including corporate, contract, and commercial law (English law jurisdictions)
- structuring of transactions and preparation of transactions documents
- preparation of NDA, term sheets, MOU, SPA, SHA, disclosure letters, statutory documents, corporate resolutions, powers of attorney, loan agreements, etc.
- elaborate legal opinions and research findings
- participation in business and legal negotiations on behalf of the company
Key requirements:
- University degree in law and/or LLM
- banking & finance practice experience with a bank and/or law/consulting firm experience of at least 5 years
- participation in fintech industry projects either on behalf of a law firm or as an in-house role
- experience with online banking projects
- M&A and legal due diligence experience
- experience in legal support of investment activities, as well as good command of corporate, contract and commercial law, currency control regulations, legal due diligence
- fluent English, in addition to Ukrainian and Russian
- hardworking and dedicated individual

- analytical and critical thinking
- excellent time management skills, ability to work in a team
- strong communication skills in order to build and maintain strong client and colleague relationships

This is a single contributor position. The position is located in Kyiv, Ukraine.
