What we do:

• Advise local and international clients on the financial and accounting aspects of the transaction documentation (share purchase agreements) working buy-side and sell-side
• Advise strategic partners on financial terms of shareholder agreements, including exit option
• Advise buyers and sellers on the completion accounts for the purposes of final purchase price determination
• Support clients in their negotiations of share purchase agreements and other transaction documentation

General description of your role:

• Support clients in commercial negotiations in the role of accounting advisor
• Advise on the purchase price mechanisms, completion accounts preparation and locked box SPAs
• Advise on financial input to legal documentations, including term-sheets, sale and purchase agreements, shareholder agreements etc.
• Advise on treatment of due diligence findings in transaction documentation

Education, experience and skills requirements:

• 5+ years of transactions experience
• Strong accounting skills
• Understanding of corporate and private equity deals mechanics
• Strong negotiation skills
• Fluent in Russian and English

Soft skills:

• Ability to deliver excellent client service, being result oriented
• Curious mind and energetic personality
• Strong presentation skills
• Strong communication skills, ability to interview principals and people at the top level
• Willingness to travel (Russia and abroad)
• Business writing skills (both in Russian and in English)
• Team player
